Terms of Business

Introduction

These Terms of Business (“Terms”) apply to all recruitment services provided by Audit People AS (“the Company”) to the Client. By engaging with Audit People AS, the Client agrees to these Terms.

Services

Audit People AS provides recruitment services for permanent, interim, and contract hires
within audit, accounting, tax, and related finance functions. For interim or contract
assignments, fees will be calculated based on the agreed fee structure and applied to the
pro-rata gross salary equivalent of the contract value.

Fees (No Cure, No Pay)

Fees are calculated as a percentage of the Candidate’s gross annual base salary only (excluding bonuses, benefits, or other compensation). Fees are payable only upon successful completion of the assignment, defined as the Candidate accepting the offer and commencing employment.

Fee Structure:
• 20% up to NOK 749,999
• 22.5% NOK 750,000 – 999,999
• 25% NOK 1,000,000 – 1,499,999
• 30% NOK 1,500,000 and above

Higher fees may apply for particularly senior, complex, or confidential assignments.

Retained Search (Senior Mandates)

Retained fees will be agreed prior to engagement and typically structured as:
• 1/3 upon engagement
• 1/3 upon delivery of shortlist
• 1/3 upon successful placement

Invoicing and Payment

Fees are invoiced upon candidate acceptance of the offer of employment. Invoices are
payable within 14 days. All fees are stated exclusive of MVA (VAT).

Non-Commencement

100% of the fee will be refunded if the candidate does not commence employment.

Rebate Policy

If a Candidate commences employment but leaves within the following timeframes:
• 0–89 days → 100% refund
• 90–134 days → 50% refund
• 135–180 days → 25% refund
• Over 180 days → No refund

Refunds apply provided full payment has been received and the Client has complied with
the payment Terms. Audit People AS does not offer a free replacement service.

Candidate Ownership

If a candidate introduced by Audit People AS is employed within 12 months of introduction,
a fee is payable. An introduction includes CV submission, identification, interview
arrangement, or any referral.

Confidentiality

All candidate information is confidential and must not be shared without prior written
consent.

Client Responsibilities

The Client agrees to provide feedback, inform Audit People AS of offers, and notify upon
candidate acceptance.

Limitation of Liability

Audit People AS shall not be liable for any loss arising from employment of a candidate. The
Client is responsible for final due diligence.

Governing Law

These Terms are governed by the laws of Norway.

Acceptance

Engagement with Audit People AS constitutes acceptance of these Terms.
